All information, data, text, charts, tables, graphics, drawings, designs, artwork, photographs, computer code, and other content on this Application (collectively, "Content"), including but not limited to, the design, structure, selection, coordination, expression, "look and feel" and arrangement of such Content, is owned by LogixHealth, and is protected by copyright, trademark, and patent law, and various other intellectual property rights and laws.
Any violation by you of the foregoing prohibitions shall result in an immediate automatic termination of your use of this Application and LogixHealth shall retain the right to all other remedies available in law or equity.
If the User is an employee of LogixHealth, in addition to the Authorized Uses, the employee may share the information available from this Application if such distribution is in the good-faith furtherance of the legitimate business interests of LogixHealth and carried out at the direction of LogixHealth (the "Additional Employee Authorized Uses"). However, all such uses of the Application by a LogixHealth employee, including the Additional Employee Authorized Uses, must conform to the requirements of the LogixHealth Acceptable Use Policy, effective June 6, 2017 (the "LogixHealth Employee Acceptable Use Policy"), in addition to the requirements of this Acceptable Use provision of this Terms and Conditions (the "Employee Acceptable Use Requirements").

User shall use the Application and any Confidential Information (as defined below) in conformity with the Authorized Uses,
and shall use and maintain Confidential Information in a manner that the Confidential Information is not accessible for use and/or duplication
by another person, entity, or business, including an Affiliate (as defined below) of User. (the "Confidential Information Restrictions").
Notwithstanding the foregoing, an employee of LogixHealth may use the information for the Additional Employee Authorized Uses while remaining
subject to the Employee Acceptable Use Requirements. Affiliate means an individual, a partnership, a corporation, a limited liability company,
an association, a joint stock company, a trust, a joint venture, an unincorporated organization controlling, controlled by or under common control
with User, where "control" means the possession, directly or indirectly, of the power to direct and or otherwise influence the management
and policies whether through the ownership of voting securities, contract or otherwise. Confidential Information means all information which
is known to be, or that a reasonable person familiar with the type of business of LogixHealth would understand to be, commercially valuable,
strategically important, proprietary, or confidential to LogixHealth, including, without limitation: information and facts concerning business
and contracting relationships; Content, Personal Health Information ("PHI"), personal identifiable information ("PII") and Personal Information (as described below);
requests for proposals and all LogixHealth documents and communications concerning response(s) to such request for proposal(s);
marketing plans and strategic, marketing, financial and operational information; client documents and client lists; and relationships with third parties,
disclosed to User in any manner by the Application, whether that be visually or electronically, and all copies thereof, whether created by LogixHealth or
a third party. If User fails to adhere to the requirements of the Confidential Information Restrictions, such breach will cause irreparable injury
to LogixHealth for which an adequate monetary remedy does not exist. Accordingly, in the event of any such breach, LogixHealth shall be entitled,
in addition to the exercise of other remedies, to seek preliminary, temporary and permanent injunctive and other equitable relief, without necessity
of posting a bond, restraining User from committing such breach or threatened breach. The rights provided in this section shall be in addition to,
and not in lieu of, any other rights and remedies available to LogixHealth. User agrees that LogixHealth shall be entitled, in addition to appropriate
injunctive relief, to recover from User (a) LogixHealth's actual damages and reimbursement of its reasonable legal fees and expenses
incurred in connection with the enforcement of its rights under this section; and (b) it being further agreed that the agreement with respect to
damages shall in no way disentitle LogixHealth to any other legal or equitable relief or remedies to which it may be entitled.
User further agrees that User will abide by all applicable state, federal and local laws in regards to any Confidential Information and/or other information obtained
or seen by User's use of the Application, including, but not limited to, those with respect to the protection of individually identifiable health information or
any requirements as may be applicable to LogixHealth in accordance with the Health Insurance Portability and Accountability Act of 1996 (?HIPAA?) and the privacy
regulations promulgated pursuant to HIPAA, including, but not limited to, 45 C.F.R. Part 160 and 45 C.F.R. Part 164, Subpart A and Subpart E, security regulations
promulgated pursuant to HIPAA, including, but not limited to, 45 C.F.R. Part 160 and 45 C.F.R. Part 164, Subpart A and Subpart C and any other federal or state law
governing the privacy and confidentiality of the content of Protected Health Information as well as the privacy, security and security breach notification under
Subtitle D of the Health Information Technology for Economic and Clinical Health Act, which is Title XIII of the American Recovery and Reinvestment Act of 2009
(Public Law 111-5) and any regulations promulgated thereunder and any other statutory or regulatory provision and Personal Information as defined in the
Massachusetts Data Security Laws, M.G.L. c. 93H and 201 C.M.R. ? 17.00, as amended and any regulations promulgated thereunder.
In a separate section below entitled Statement of E-Mail Privacy Practices, we also provide information about our collection and use of e-mail addresses, both in connection with this Application and otherwise, subject to the limitations of scope contained in that section.

Unless personally identifiable information such as name, address, telephone number, or e-mail address is voluntarily submitted by you on the site, we do not collect such information in connection with use of this site or associate or link it to information that we collect using cookies or web beacons as described below. We use such personally identifiable information that you submit for our internal business purposes only, and we do not sell or trade it. We may share such personally identifiable information with our contract partners who provide marketing and website-related services to us, but will do this under contracts that prohibit our partners' disclosure and use of that information except as necessary to provide those services to us.

You will not receive e-mail as a result of visiting this site unless you request or consent to it or have voluntarily filled out a form on this site that contains your e-mail address. All such e-mail will include capability to opt-out of receiving further e-mails from us, if you wish to do so, and that capability will be consistent with applicable laws and regulations.
With respect to e-mail not resulting from visiting this site, we divide the e-mail that we send or initiate into two categories for privacy purposes: "Patient E-mail" and "Other E-mail."
Patient E-Mail: E-mail that we send or arrange with our service providers to send on behalf of our medical practice clients to the patients of those clients in order to perform, complete, or confirm services that those patients have requested from clients, and e-mail that is generated through patients' use of our clients' patient web portals is classified by us as transactional and/or relationship content e-mail that is integral to our client services. We do not provide a means of opt-out from such e-mail. In those cases in which we believe patient e-mail is not primarily for transactional/relationship purposes, the e-mail will include capability to opt-out of receiving further e-mails from us, if the patient wishes to do so, and that capability will be consistent with applicable laws and regulations.
We consider the e-mail addresses of our clients' patients that are provided to us by our clients, by those patients themselves via a client's patient web portal, or by others in the course of our providing client services to be private information that is protected under the privacy and security provisions of HIPAA and other applicable federal and state privacy and security laws. These laws include strict limitations on the use to which this information may be put. We disclose and use such addresses only for legitimate business purposes as permitted by HIPAA and such laws and regulations. We do not use such addresses to market or promote ourselves. We require all contractors (other than ISPs and other carriers) who we retain to aid us in sending, receiving, or tracking patient e-mails using such addresses to agree to confidentiality provisions in business associate agreements as required under HIPAA.
Other E-Mail: We may also send or initiate e-mail to other individuals that is not transactional/relationship content e-mail (including, for example, e-mail to sales prospects, investors, job-seekers, and members of the public who have requested communications or information from us). All such e-mail will include capability to opt-out of receiving further e-mails from us, if the recipient wishes to do so, and that capability will be consistent with applicable laws and regulations.
Our outgoing e-mail may include the capability to track when a URL (or web link) has been clicked inside of an e-mail message sent by our system or by a vendor on our behalf. This does not collect personally identifiable information such as name, address, telephone number, or e-mail address; but, it may collect information on IP address, browsing history or path and other data about the equipment of the user.
"Cookies" are files stored on a user's computer by a server or Application in connection with a session, visit, viewing of a web page, or user action on a web page. They can be read or retrieved by the same or another server or Application when additional sessions, visits, viewings, or user actions occur and can be used to provide information about the session, visit, viewing, or action when they were stored. Most browsers contain various controls for accepting, rejecting, or notifying users about cookies. Users who wish to administer acceptance and storage of cookies should refer to browser instructions and compare the administrative capabilities of different browsers to determine what is appropriate for them.
